1. Acceptance of These Terms

These Terms of Service ("Terms") govern your access to and use of toridalights.com (the "Site") and any purchase you make through it. The Site is operated by Ningbo Tuoyida International Trade Co., Ltd., trading as TORIDA Outdoor Lighting ("we", "us", "our").

By browsing the Site, creating an account, or placing an order, you confirm that you have read, understood and agree to be bound by these Terms, together with our Shipping Policy, Refund & Return Policy and Privacy Policy. If you do not agree, please do not use the Site.

If you place orders on behalf of a company, you confirm that you are authorised to bind that company, and "you" includes that company.

2. Eligibility and Account Responsibility

You must be at least the age of majority in your jurisdiction and able to enter into a binding contract.
You agree to provide accurate, current and complete information when ordering or registering, and to keep it updated.
You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.
Notify us promptly at support@toridalights.com if you suspect unauthorised use of your account.
We may suspend or close accounts that show signs of fraud, abuse, resale misrepresentation, or repeated policy violations.

3. Products, Descriptions and Availability

We make reasonable efforts to describe and photograph our products accurately. Actual colours may vary slightly due to lighting, monitor settings or manufacturing batches, and product design or packaging may be updated without notice as part of ongoing improvement.
Product specifications published on the Site are for general guidance. For project, technical or compatibility-critical requirements, please confirm details with us in writing before ordering.
Not all products are available in all countries, and listings do not constitute an offer to sell where prohibited by law.

4. Orders and Order Acceptance

Adding items to your cart and submitting checkout is an offer to buy. An order is only accepted when we send you an order confirmation or dispatch notice (or, for wholesale, when we issue a written quotation acceptance).
We reserve the right to decline or cancel an order — in whole or in part — for reasons including: product unavailability or stock error, listing or pricing error, payment failure or suspected fraud, shipping restrictions to the destination, or customs or legal restrictions.
If we cancel a paid order, we will refund the amount received for it using the original payment method.
Order details, invoices and records are maintained in our systems as evidence of the transaction.

5. Prices, Currency and Stock Changes

All prices are displayed in US dollars (USD) unless stated otherwise, and exclude duties, taxes and import charges unless expressly indicated.
Prices may change, promotions may end, and stock levels may shift at any time. Changes do not affect orders already confirmed by us, except where a clear pricing error is discovered before dispatch — in which case we will contact you and you may accept the corrected price or cancel for a full refund.
Wholesale tier discounts are applied as described in our Wholesale Program page and any written quotation we issue.

6. Payment

Payment must be made in full at checkout using the payment methods offered on the Site, or as agreed in writing for wholesale orders.
Payments are processed by third-party payment providers; their terms and privacy policies also apply. We do not store full card details.
We may perform fraud-screening checks, and may request additional verification or hold an order until checks are completed.
Any bank, payment-processing or currency-conversion fees charged by your provider are your responsibility.

7. Taxes, Duties and Import Charges

Prices do not include customs duties, import taxes, value-added tax, goods and services tax, or carrier brokerage and handling fees, unless expressly stated. These charges are set by destination authorities and are the buyer's responsibility. Please see our Shipping Policy for details. If a parcel is refused or abandoned because duties were not paid, it may be disposed of by the carrier, and fees or the original shipping cost may not be refundable.

8. Shipping and Risk of Loss

Please refer to our Shipping Policy for processing times, delivery estimates and the claims process. Delivery estimates are indicative and not guaranteed, as they depend on carriers, customs and destination conditions. Title and risk of loss or damage pass to you upon delivery as recorded by the carrier.

9. Returns and Refunds

Returns and refunds are handled under our Refund & Return Policy. Nothing in these Terms limits non-waivable statutory consumer rights in your country of residence.

10. Intellectual Property

All content on the Site — including text, product descriptions, photographs, graphics, logos, page design and the TORIDA name and marks — is owned by or licensed to us and is protected by applicable intellectual property laws.
You may view and print pages for your own non-commercial use. You may not copy, reproduce, modify, distribute, scrape, resell or use our content commercially without our prior written permission.
Third-party trademarks that appear on the Site (for example, payment or carrier brands) belong to their respective owners and are used for identification purposes only.

11. Acceptable Use

You agree not to:

Use the Site for any unlawful, deceptive or fraudulent purpose.
Attempt to gain unauthorised access to the Site, its systems, or other users' accounts.
Introduce malware, use automated scraping or bots in a way that disrupts the Site, or interfere with its normal operation.
Post reviews or content that is false, defamatory, infringing, obscene or misleading.
Misrepresent yourself as us, or resell our products in ways that imply an unauthorised partnership or official status.

12. Disclaimer of Warranties

The Site and its content are provided on an "as available" and "as is" basis. To the fullest extent permitted by law, we disclaim warranties of any kind, express or implied, including implied warranties of merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Site will be uninterrupted, error-free, or free of harmful components, or that any content is complete or current. Product suitability for a specific application (for example use in hazardous, high-temperature or safety-critical environments) must be confirmed with us in advance.

13. Limitation of Liability

To the maximum extent permitted by law:

We are not liable for indirect, incidental, special, consequential, exemplary or punitive damages, or for loss of profit, revenue, data, goodwill or business opportunity, arising out of or related to your use of the Site or the purchase of products.
Our total aggregate liability arising out of or relating to any order will not exceed the amount you actually paid for the product(s) giving rise to the claim.
We are not liable for delays or failures caused by events beyond our reasonable control, including carrier delays, customs detention, natural events, labour disputes, or government actions.

Some jurisdictions do not allow certain limitations or exclusions, so parts of this section may not apply to you.

14. Indemnification

You agree to indemnify and hold harmless Ningbo Tuoyida International Trade Co., Ltd. and its officers, employees and agents from any claims, losses, liabilities and reasonable expenses arising from your breach of these Terms, your misuse of the Site or products, or your violation of any law or third-party right.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the People's Republic of China, without regard to conflict-of-law principles. Before starting formal proceedings, both parties agree to attempt to resolve any dispute in good faith by contacting support@toridalights.com. If a dispute cannot be resolved amicably, it may be submitted to the competent court at our registered place of business in Ningbo, Zhejiang, China, unless mandatory consumer-protection law in your country of residence requires otherwise.

16. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, policies or legal requirements. The updated version takes effect when posted on this page with a revised effective date. Continued use of the Site after that date constitutes acceptance. The Terms in force at the time you place an order govern that order.

17. Severability and Entire Agreement

If any provision of these Terms is found unenforceable, the remaining provisions remain in full force. These Terms, together with our policies referenced above, constitute the entire agreement between you and us regarding use of the Site and purchases made through it.
